terminate the agreement between

deemed to have been served

EDI of any change to your

Any breach of these Terms
shall entitle EDI to immediately
terminate this Agreement
to you without notice. Neither
party is obliged to provide
to the other any reason for
their decision to terminate

property rights arising in

This Agreement is deemed to have been made in England and is governed by English Law. Any dispute relating to this Agreement shall be referred to the English Courts.
Third Party Rights
This Agreement is intended and agreed to be for the benefit solely of the parties hereto and their lawful successors and permitted assigns and is not intended to create any right enforceable by any other person.
Entire Agreement
This Agreement, the Privacy Statement and either the Trial Period Agreement or the EDI Learning Assessment System Agreement (subject to the parties entering into them) constitute the entire agreement between the parties and may only be varied or amended in accordance with this Agreement provided that nothing in this Agreement shall act so as to exclude or limit liability for fraud.
General
You may not assign, sub-license or otherwise transfer any of your rights under these Terms. If any provision in these Terms is found to be invalid by any court having competent jurisdiction, the invalidity of that provision will not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. Failure by either party to exercise any right or remedy under these Terms does not constitute a waiver of that right or remedy. Headings in these Terms are for convenience only and will have no legal meaning or effect.
